END USER  LICENSE AGREEMENT



IMPORTANT: THIS SOFTWARE END USER LICENSE AGREEMENT ("EULA") IS A LEGAL AGREEMENT BETWEEN YOU (EITHER AN INDIVIDUAL OR AN ENTITY) AND A.V. RODGERS (AVR). READ IT CAREFULLY BEFORE USING THE SOFTWARE. IT PROVIDES A LICENSE TO USE THE SOFTWARE AND CONTAINS WARRANTY INFORMATION AND LIABILITY DISCLAIMERS. BY SELECTING THE ORDER NOW OR DOWNLOAD BUTTON AND USING THE SOFTWARE, YOU ARE CONFIRMING YOUR ACCEPTANCE OF THE SOFTWARE AND AGREEING TO BECOME BOUND BY THE TERMS OF THIS AGREEMENT.
IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, THEN UNINSTALL THE SOFTWARE FROM YOUR COMPUTER.

This Agreement sets forth the terms and conditions which apply to your use of the A.V.Rodgers software. The right to use this software is personal to you and is not transferable to any other person or entity.

1. Individual License Grants.
(A) You may install and use each individual unit of the Software on a single personal computer that has a Windows operating system (including Windows 95, 98, 2000, NT, Me and XP). A license for the Software may not be shared, installed or used concurrently on different computers. The Software is "in use" on a computer when it is loaded into the temporary memory (i.e., RAM) or installed into permanent memory (e.g., hard disk, CD-ROM drive, or other storage device) of that computer.

(B) You may make one copy of the Software in machine-readable form solely for backup or for personal accessibility purposes. You must reproduce on any such copy all copyright notices and any other proprietary legends on the original copy of the Software.

(C) You agree that AVR may audit your use of the Software for compliance with these terms at any time.

(D) Your license rights under this EULA are non-exclusive.

(E) Certain rights are not granted under this Agreement, but may be available under a separate agreement. If you would like to negotiate a separate agreement, please contact us at inquiries@avrodgers.com.

2. License Restrictions.
(A) Other than as set forth in Section 1, you may not make or distribute copies of the Software, or electronically transfer the Software from one computer to another or over a network.

(B) You may not alter, merge, modify, adapt or translate the Software, or decompile, reverse engineer, disassemble, or otherwise reduce the Software to a human-perceivable form.

(C) You may not sell, rent, lease, or sublicense the Software.

(D) You may not modify the Software or create derivative works based upon the Software.

(E) You may not export the Software into any country prohibited by the United States Export Administration Act and the regulations thereunder.

(F) In the event that you fail to comply with this EULA, AVR may terminate the license and you must destroy all copies of the Software (with all other rights of both parties and all other provisions of this EULA surviving any such termination).

3. Copyright. All intellectual property rights in the Software (including all animations, audio, images, maps, music, photographs, video, and text incorporated into the Software) are owned by AVR and its affiliates, suppliers, and licensors, and are protected by United States copyright laws and international treaty provisions. AVR and its affiliates, suppliers, and licensors retain all rights not expressly granted. You must treat the Software like any other copyrighted material. You may not distribute printed copies of any user documentation provided in electronic format. The restrictions contained herein apply equally to hybrid CD-ROMs which may contain multiple versions of the Software for use on different operating systems. Regardless of the type of media you receive, you may use only the portion appropriate for your single-user computer/workstation.

4. Limited Warrenty. AVR and its affiliates, suppliers, and licensors warrant that the media on which the Software is distributed are free from defects in materials and workmanship for a period of sixty (60) days from the time of receipt. ANY AND ALL OTHER IMPLIED WARRANTIES WITH RESPECT TO THE SOFTWARE AND THE ACCOMPANYING WRITTEN MATERIALS, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE LIMITED TO SIXTY (60) DAYS.

5. Remedies. Your exclusive remedies shall be, at AVR's sole option, (a) the refund of the amount you paid for the Software minus a 15% restocking fee or (b) repair or replacement of the Software provided that the defective Software is returned to AVR or an authorized dealer within sixty (60) days from the date of purchase. This Limited Warranty is void if failure of the Software has resulted from accident, abuse, or misapplication or if the you have failed to activate the warrenty. Any replacement Software will be warranted for the remainder of the original warranty period or sixty (60) days, whichever is longer.

In order to process a software return, you must provide AVR with the order number and serial number of the warrented software. Return forms may be accessed at http://avrodgers.com/Returns.html.

Upon the e-mail confirmation of the processed return, the you must uninstall the software from your computer's hard disk, CD-ROM drive, or other storage device of that computer and destroy all copies of the software.

6. Limitations of Liabilities Remedies.
(A) EACH USER EXPRESSLY AGREES THAT USE OF THE SOFTWARE IS AT HIS OR HER SOLE RISK.

(B) THE DISCLAIMERS OF LIABILITY CONTAINED IN THIS SECTION 6 APPLY TO ANY DAMAGES OR INJURY CAUSED BY ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF RECORD, WHETHER FOR BREACH OF CONTRACT, TORTIOUS BEHAVIOR, NEGLIGENCE, OR UNDER ANY OTHER CAUSE OF ACTION. EACH MEMBER SPECIFICALLY ACKNOWLEDGES THAT AVR IS NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF THIRD PARTIES, INCLUDING USERS AND THAT THE RISK OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH EACH USER.

(C) IN NO EVENT WILL AVR OR ANY PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING, OR DISTRIBUTING THE SOFTWARE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE OR OUT OF THE BREACH OF ANY WARRANTY.

(D) IN NO EVENT WILL AVR OR ITS AFFILIATES, SUPPLIERS, AND LICENSORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, ECONOMIC, COVER, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, USER DOCUMENTATION, OR RELATED TECHNICAL SUPPORT, INCLUDING, WITHOUT LIMITATION, DAMAGES OR COSTS RELATING TO THE LOSS OF PROFITS, BUSINESS, GOODWILL, DATA, OR COMPUTER PROGRAMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL AVR'S AND ITS AFFILIATES', SUPPLIERS', AND LICENSORS' LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

7. U.S. Government Restricted Rights.U.S. GOVERNMENT RESTRICTED RIGHTS. The Software and user documentation is provided with RESTRICTED RIGHTS AND LIMITED RIGHTS. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software--Restricted Rights at 48 CFR 52.227-19, as applicable.

This Agreement sets forth the terms and conditions which apply to your use of the A.V.Rodgers (AVR) Website, software and any other product or service offered for sale by A.V. Rodgers.com through the A.V.Rodgers Website. The right to use the AVR Website and any other product or service offered by AVR through the AVR Website is personal to you and is not transferable to any other person or entity.

1. Definitions. The "Service" is the personalized online news, information, shopping and interactive service operated by AVR on the World Wide Web of the Internet accessible through the AVR Website. "User" means each person who uses any of the products or services, or features thereof, of the Service. "EULA" refers to the End User License Agreement.

2. General. AVR shall have the right at any time to change or discontinue any aspect or feature of the Service, including, but not limited to, content, hours of availability, registration requirements and equipment needed for access or use.

3. Changed Terms. 4. User Conduct.
(A) The Service shall be used for lawful purposes only. No material shall be posted on or transmitted which violates or infringes in any way upon the rights of others, which is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane, indecent or otherwise objectionable, which encourages conduct that would constitute a criminal offense, gives rise to civil liability or otherwise violates any law. No conduct shall be undertaken that, in AVR's judgment, restricts or inhibits any other user from using or enjoying the Service. Advertising or commercial solicitation may not be posted on or transmitted through the Service by Users.

(B) The Service contains copyrighted material, trademarks and other proprietary information including, but not limited to, text, software, photos, video, graphics, music and sound, and the entire content of the Service is copyrighted as a collective work under the United States copyright laws. AVR owns a copyright of the selection, coordination, arrangement and enhancement of such content, as well as in the content original to it. Each third-party content provider owns the copyright in content original to it. No User may modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit, any of the content of the Service, in whole or in part. Except as otherwise expressly permitted under copyright law, no copying, redistribution, publication or commercial exploitation of downloaded material from the Service will be permitted without the express-written permission of AVR and any other copyright owner. In the event of any permitted copying, redistribution or publication of copyrighted material, no changes in or deletion of author attribution, trademark, legend or copyright notice shall be made. Each User acknowledges that he or she does not acquire any ownership rights by downloading copyrighted material.

(C) No material protected by copyright, trademark or other proprietary right shall be uploaded, posted or otherwise made available by the User on the Service without the express permission of the owner of the copyright, trademark or other proprietary right and the burden of determining that any material is not protected by copyright rests with the User. The User shall be solely liable for any damages resulting from any infringement of copyrights, proprietary rights, or any other harm resulting from any uploading, posting or submission.

(D) Each User hereby grants to AVR a royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display any message posted in the Service (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or later developed.

(E) Each User shall provide AVR with accurate, complete and updated information as to his or her name and e-mail address provided by User at registration.

(F) No User may (i) select or use a User name or e-mail address of another person with the intent to impersonate that person; (ii) use a User name or e-mail address subject to the rights of any person other than the User without authorization; (iii) use a User name in violation of the intellectual property rights of any person; or (iv) use a User name that AVR, in its sole discretion, deems offensive.

(G) The foregoing provisions of this Section 4 are for the benefit of AVR, its affiliates, and third-party content providers and licensors, if any, and each shall have the right to assert and enforce such provisions directly on its own behalf.

5. Third-Party Content. The Service contains content supplied by parties other than AVR. Any opinions, advice, statements, services, offers, or other information or content expressed or made available by such third parties, including information providers and Users, are those of the respective author(s) or distributor(s) and not of AVR. Neither AVR nor any third-party provider of information guarantees the accuracy, completeness, or usefulness of any content, nor its merchantability or fitness for any particular purpose. (Refer to Section 6 below for the complete provisions governing limitation of liabilities and disclaimers of warranty.) In many instances, the content available through the Service represents the opinions and judgments of the respective information provider or User, and not of AVR.

6. Disclaimer of Warranty; Limitation of Liability.
(A) EACH USER EXPRESSLY AGREES THAT USE OF THE SERVICE IS AT HIS OR HER SOLE RISK. NEITHER AVR, ITS AFFILIATES NOR ANY OF THEIR RESPECTIVE EMPLOYEES, AGENTS, THIRD-PARTY CONTENT PROVIDERS OR LICENSORS, IF ANY, WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR FREE: NOR DO THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICE OR AS TO THE ACCURACY, RELIABILITY, OR CONTENT OF ANY INFORMATION, SERVICE, [OR MERCHANDISE] PROVIDED THROUGH THE SERVICE.

AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, EACH USER SHOULD USE HIS OR HER BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

(G) EACH USER SPECIFICALLY ACKNOWLEDGES THAT IN NO EVENT WILL AVR, ITS AFFILIATES, OR ITS THIRD PARTY SERVICE PROVIDERS NOR ANY OF THEIR RESPECTIVE EMPLOYEES OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF (i) THE USE BY SUCH USER OF ANY BROWSER OWNED OR OPERATED BY ANY PARTY AND/OR (ii) THE DOWNLOADING OF ANY SOFTWARE OWNED OR OPERATED BY ANY THIRD-PARTY IN CONNECTION WITH THE SERVICE.

7. Monitoring. AVR shall have the right, but not the obligation, to monitor the content of the Service to determine compliance with this Agreement and any other operating rules established by AVR. AVR shall have the right in its sole discretion to edit, refuse to post or remove any material submitted to or posted on the Service. Without limiting the foregoing, AVR shall have the right to remove any material that AVR, in its sole discretion, finds to be in violation of the provisions hereof, otherwise objectionable or stale. Notwithstanding this right of AVR, Users shall remain solely responsible for the content of their messages. Each User acknowledges and agrees that neither AVR nor any third party content provider shall assume or have any liability for any action or inaction by AVR or any third party content provider with respect to any conduct, communication or posting on the Service.

8. Indemnification. Each User agrees to defend, indemnify, and hold harmless AVR, its affiliates, and its third party service providers and their respective directors, officers, employees, and agents from and against all claims and expenses, including attorneys' fees, arising out of the use of the Service by such User.

9. Termination. Either AVR or may terminate this Agreement at any time. User's only right with respect to any dissatisfaction with (i) any terms and conditions of this Agreement, (ii) any policy or practice of AVR in operating the Service, or (iii) any content available through the Service or any change therein, is to terminate this Agreement by removing the software from their computer. Without limiting the foregoing, AVR shall have the right to immediately terminate this Agreement with respect to any User in the event of any conduct by User which AVR, in its sole discretion, considers to be unacceptable, or in the event of any breach by User of this Agreement. The provisions of Sections 1, 2, 3, 4, 5, 6, 7, 8 and this, Section 9, shall survive termination of this Agreement.

10. Trademarks. Trademarks are registered trademarks of AVR. All rights reserved. All other trademarks appearing on the Service are the property of their respective owners, including, in some instances, AVR.

11. Equipment. Each User shall be responsible for obtaining and maintaining all telephone, computer hardware, and other software or equipment needed for access to and use of the Service, and Users shall be responsible for all charges related thereto.

12. Privacy. See the AVR Privacy Policy below.

13. Security. AVR takes reasonable precautions to safeguard information transmitted between the Site and its Users. However, we are unable to prevent unauthorized access to such information by third parties. Users acknowledge this risk when communicating with the Site.

14. IP/LOG Files. IP addresses refer to the unique identifying numbers of computers logged onto the Internet. IP addresses supply AVR with information about how many people visit the site and how long they remain within the AVR site. By recognizing IP addresses, AVR can track trends in network usage, adequately diagnose and address issues, and properly administer the web site. The user name and password information of registered software users coupled with IP addresses is utilized by AVR to monitor compliance with the EULA as stipulated in but not limited to Sections 1 and 2.

15. Miscellaneous. This Agreement and any operating rules for the Service established by AVR constitute the entire agreement of the parties with respect to the subject matter hereof, and supercede all previous written or oral agreements between the parties with respect to such subject matter. This Agreement shall be construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws rules. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. The section headings used herein are for convenience only and shall not be given any legal import.
